Terms of Service

You must provide accurate information when creating an account and keep it up to date. Accounts are created and authenticated through our identity provider, and each account is assigned a role (Student, Instructor, Researcher, Vendor, Investor, Digital Marketer, or Guest), which determines the features available to you.

You are responsible for all activity that happens under your account and for keeping your login credentials confidential. Notify us immediately if you suspect unauthorized use of your account.

• Enrolling in a course requires payment approval (see Section 3) or, where applicable, being granted access by an instructor or administrator.
• Instructors are responsible for the accuracy of the course, class, and grading content they publish, and for grading submissions fairly and in good time.
• Assignments, quizzes, and grades you submit or receive form part of your academic record on the Platform and may be reviewed by instructors and administrators.
• Attendance for physical classes, where offered, is tracked by instructors and is not a substitute for any formal accreditation unless explicitly stated on the course page.

Course, store, and other paid items on the Platform are currently settled by manual bank transfer. When you submit payment evidence, it is reviewed by an administrator and marked pending, confirmed, or rejected. Access to a paid course or an order only unlocks once payment has been confirmed.

You are responsible for the accuracy of the payment evidence you submit. Submitting false, altered, or fraudulent payment evidence is a serious violation of these Terms and may result in immediate suspension of your account. Prices are subject to change without prior notice for items not yet purchased.

Our prices are set in Nigerian naira (₦), and payment is always taken in naira. If you browse from outside Nigeria, the Platform may also show an approximate equivalent in your local currency. This is worked out automatically from the country your internet connection appears to be in and a daily exchange rate. It is a guide only: the naira amount shown is the amount you must pay, and the equivalent can differ from what your bank actually charges you.

Products listed in the Store are sold subject to availability. Placing an order does not guarantee stock; we will notify you if an ordered item cannot be fulfilled. Order and payment status can be tracked from your dashboard. Refunds and returns, where offered, are handled on a case-by-case basis. Contact us using the details in Section 11.

The Community feed and Innovation Hub let you publish posts, comments, innovation submissions, votes, and collaboration requests. You retain ownership of content you post, but by posting it you grant BrainTech a non-exclusive, worldwide, royalty-free licence to host, display, and distribute it on the Platform.

You agree not to post content that:

• is unlawful, defamatory, harassing, hateful, or sexually explicit;
• infringes someone else's intellectual property or privacy rights;
• contains malware, spam, or misleading claims; or
• impersonates another person or entity.

We may moderate, hide, or remove any content, and suspend accounts, at our discretion, where we reasonably believe these Terms have been broken.

You agree not to:

• use the Platform for any unlawful purpose or in violation of any applicable law;
• attempt to gain unauthorized access to any account, system, or data;
• copy, resell, or redistribute course materials, products, or Platform content without written permission;
• interfere with or disrupt the Platform's operation, including through automated scraping or overload of our systems; or
• upload viruses or other malicious code.

The Platform, including its design, branding, course materials, and software, is owned by BrainTech R&D Innovazions or its licensors and is protected by applicable intellectual property laws. Nothing in these Terms transfers ownership of that material to you.

We may suspend or terminate your access to the Platform, with or without notice, if we reasonably believe you have violated these Terms, engaged in fraudulent activity, or created risk or legal exposure for BrainTech or other users. You may stop using the Platform and request account deletion at any time. See our Privacy Policy for how to do this.

The Platform, its courses, and its content are provided "as is" and "as available" without warranties of any kind, express or implied, to the fullest extent permitted by law. We do not guarantee that the Platform will be uninterrupted, error-free, or that any course will lead to a specific job, income, or certification outcome.

To the fullest extent permitted by law, BrainTech R&D Innovazions will not be liable for any indirect, incidental, or consequential damages arising from your use of the Platform. Our total liability for any claim arising from these Terms will not exceed the amount you paid us, if any, in the twelve (12) months preceding the claim.

These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute arising from these Terms will be subject to the exclusive jurisdiction of the courts of Nasarawa State, Nigeria.

The Digital Marketer Programme lets approved marketers earn commission by referring people to our services. This section applies in addition to the rest of these Terms to anyone who applies to, or takes part in, the programme (a "Marketer"). By submitting a marketer application, you confirm you have read and agree to this section.

Eligibility and approval

• Everything in your application must be true and complete, including your personal details, payout bank account, a valid government ID (national ID card, voter's card, or driver's license) in your own name, and a recent passport photograph.
• You may hold only one Marketer account.
• Submitting an application creates your account, but it stays locked while our team verifies your details. We may approve or decline any application, or ask for more information, and approval does not guarantee any level of earnings.

Referrals and commission

• Each approved Marketer gets a unique referral code and link. When someone opens a page through your link, the code is remembered on their device for 30 days, and a referral is only attached if that code is used when they enrol, place an order, or request a service.
• A referral earns commission only after the referred person's payment has been confirmed by us. Until then it shows as pending. If the payment is rejected, refunded, reversed, or found to be fraudulent, the referral is cancelled and any related points are removed.
• Commission is paid as points. 10 points equal ₦1,000. Each confirmed referral earns a fixed number of points that BrainTech sets for each service. The points may change; the points in force when a payment is confirmed are the ones that apply.
• For services handled offline (for example custom software, internet services, or IT solutions), the commission is entered by our team only after the project terms are agreed and payment has been received.
• You may not refer yourself, or accounts you own or control, to earn commission.

Withdrawals

• You can request a withdrawal once your available points reach the minimum threshold set by BrainTech. You may withdraw a specific number of points or all of them.
• Withdrawals are reviewed and confirmed by our team and paid in naira by bank transfer to the payout account in your profile. You are responsible for keeping those account details correct, and we are not liable for a payment sent to the account details you gave us.

Conduct

• Promote BrainTech honestly. Do not make false or misleading claims, promise guaranteed jobs, income, or results, send spam, or pretend to be BrainTech or to act on its behalf.
• Do not create fake or duplicate accounts or fake referrals, or use any other method to earn commission you are not entitled to.
• If we believe you have broken these rules, we may cancel the related referrals, withhold or cancel unpaid points, suspend or terminate your Marketer account, and report fraud where the law requires.

Your relationship with us

A Marketer is an independent participant and not an employee, partner, or agent of BrainTech, and has no authority to make promises or sign agreements for us. We may change, pause, or end the programme, its commission rates, or its thresholds at any time. Changes apply to future sales and do not remove commission already confirmed.

Leaderboard

Marketers who earn points may appear on our public leaderboard. Lists show a shortened name (for example "Ada O.") and ranking, and the leaderboard page may also show your full name and passport photograph. Our Privacy Policy explains how we handle the information you give us as a Marketer.

If you have a question or problem, raise a support ticket from your Marketer dashboard and our team will respond.

We may update these Terms from time to time to reflect changes to the Platform or applicable law. We will update the "Last updated" date above when we do. Continued use of the Platform after changes take effect means you accept the revised Terms.
